Terms of service
The arrangement, in plain words.
Nothing here is a trap. If any of it reads as one, tell us and we will fix the wording.
Who this is between
VisualIQ, and the organisation registered on it. The person who registers confirms they are authorised to do so on that organisation's behalf.
What you get
An organisation of your own on VisualIQ, at its own address, for the users and storage your plan allows, for the period you have paid for. We keep it running, backed up and patched.
What it costs
The annual price of your plan, in Australian dollars, including GST, invoiced in advance. The first 30 days are a trial and are not charged. Prices do not change inside a term; if one changes at renewal we will tell you before the invoice, not with it.
If an invoice is late your library keeps working and shows a banner. If it stays unpaid we will talk to you before anything is suspended, and your data is never deleted over an unpaid invoice.
Who owns what
Your assets are yours. Uploading them gives us permission to store, process and show them to the people you authorise — that is all, and only so we can run the service for you. We claim no other right over them and never will. Most people never realise that when you upload to most other cloud storage providers, you're also uploading your rights over that work.
The software is ours. You may use it, not copy or resell it.
What you agree not to do
Upload material you have no right to, or material that is unlawful. Use the service to store or distribute something that would put us or another customer at risk. Attempt to reach another organisation's data, or attempt to break the service for anybody else. If you do — and the platform will tell us — no ifs, no buts, no refunds: you're outta here.
Availability
We aim for the service to be there whenever you need it, and we will tell you in advance about planned maintenance. We do not promise a number we cannot keep; if you need a formal availability commitment, that is an Enterprise conversation and we will write one down.
Ending it
You can leave at any time. Tell us and we will export your library — the original files plus a manifest of the metadata — and then remove it. We do not charge for leaving, and we do not hold data hostage. Unused time on an annual term is not refunded unless we have failed to deliver the service.
We can end the arrangement if the terms above are seriously breached, after telling you why and giving you a reasonable chance to put it right.
Liability
Nothing in these terms excludes rights you have under Australian Consumer Law. Beyond those, our liability in any twelve-month period is limited to what you paid us in it. Keep your own backup of anything irreplaceable — we keep ours, and you should keep yours.
Changes
If we change these terms we will tell the administrators of every organisation, in writing, before the change takes effect. Continuing to use the service after that is acceptance; if you would rather leave, the paragraph above applies.
Law
These terms are governed by the law of Tasmania, Australia.
